57 <br />SECTION 3. NIISCELLANEOUS. <br />3.1. .Notices. Any notice or other communication required or <br />contemplated by this Project Fund Agreement shall be deemed to be delivered if in <br />writing, addressed as provided below and if (a) actually received by such <br />addressee, or (b) in the case of mailing, when indicated to have been delivered by <br />a signed receipt returned by the United States Postal Service after deposit in the <br />United States mails, postage and registry fees prepaid, and clearly directed to be <br />transmitted as registered or certified mail: <br />(i) If intended for the County, addressed to it at the following <br />address: Orange County, Attention: Finance Director, Re: Notice under <br />2007 SunTrust Project Fund Agreement, Post Office Box 8181, <br />Hillsborough, North Carolina 27278. <br />(ii) If intended for SunTrust, addressed to it at the following <br />address: SunTrust Leasing Corporation, Attention: , Re: <br />Notice under 2007 Project Fund Agreement with Orange County, North <br />Carolina, [address/city/state]. <br />Any party may designate a different or alternate address for notices by notice <br />given under this Project Fund Agreement. <br />3.2. Survival of Covenants and Representations. All covenants, <br />representations and warranties made by the County in this Project Fund <br />Agreement and in any certificates delivered pursuant to this Project Fund <br />Agreement shall survive the delivery of this Project Fund Agreement. <br />3.3. Choice of Law. The parties intend that North Carolina law will <br />govern this Project Fund Agreement. <br />3.4. Amendments. This Project Fund Agreement may not be modified or <br />amended unless such amendment is in. writing and signed by SunTrust and the <br />County. <br />3.5. No Third-Part Beneficiaries. There are no parties intended to be <br />or which shall be deemed to be third-party beneficiaries of this Project Fund <br />Agreement. <br />s~ <br />
