6 <br />number at a later time. <br />Commissioner Gordon made reference to the statement on page 17 <br />which indicates that the County has reviewed the design and specifications for <br />the CAC and asked if these were the plans submitted some time ago. Rod Visser <br />stated that this document will be dated December 1. It is hoped that the <br />Board will appoint three members to this committee and that they will meet and <br />present these plans and specifications before that time. John Link suggested <br />changing the language to indicate that the Board will review and will approve <br />these plans and specifications. <br />Commissioner Gordon expressed her concern that the ice rink be <br />available for women as well as men. Mr. Kidd explained that the number of <br />dressing rooms correlates to the number of male and female participants. In <br />the hockey program they have six female participants and 120 male <br />participants. For general ice skating, dressing rooms are not used. They <br />feel they have allocated adequate space. <br />The Board discussed whether or not they wanted to program the <br />activities for the ice rink as well as the swimming pool. It was decided that <br />the County would have input into the programming for both swimming and ice <br />rink activities. The agreement will be amended to reflect this change. <br />Commissioner Gordon stated that she feels it is a worthwhile <br />endeavor to have a pool and ice rink in Orange County. She voted against this <br />because of the fiscal concerns she previously stated. She will vote against <br />this proposal for those same reasons. <br />A motion was made by Commissioner Insko, seconded by Commissioner <br />Halkiotis to approve the resolution as stated below: <br />RESOLUTION OF <br />THE COUNTY OF ORANGE, NORTH CAROLINA <br />APPROVING A FACILITIES/SERVICES AGREEMENT <br />AND RELATED MATTERS <br />WHEREAS, the County of Orange, North Carolina (the "County") is a <br />validly existing political subdivision of the State of North Carolina, <br />existing as such under and by virtue of the constitution, statutes and laws <br />of the State of North Carolina (the "State"); <br />WHEREAS, the County has the power, pursuant to North Carolina General <br />Statutes, to (i) provide community activity facilities used, or to be used, <br />for public purposes and (ii) enter into contracts with respect to the <br />provision of such facilities; <br />WHEREAS, pursuant to a certain Indenture of Trust dated as of December <br />1, 1993 (the "Indenture"), between Orange County Community Activity <br />Corporation (the "Corporation") and First Union National Bank of North <br />Carolina, as trustee (the "Trustee"), the Corporation will issue its Community <br />Activity Center Revenue Bonds, Series 1993A and Series 1993E (collectively, <br />the "Bonds") and apply the proceeds thereof to the acquisition, construction <br />and equipping of a public ice hockey rink and swimming pool to be located in <br />the County (the "Project"); <br />WHEREAS, the County has determined that it is in the best interest of <br />the County that, instead of building and operating its own swimming pool, the <br />County contract with the Corporation pursuant to a Facilities/Services <br />Agreement dated as of December 1, 1993 (the "Agreement") between the County <br />and the Corporation to provide a public swimming pool and management services <br />
