licenses, certifications, or credentials and that such licenses certifications, or <br />credentials are current, active, and not in a state of suspension or revocation. <br />ARTICLE 3 BASIC SERVICES <br />3.1 Basic Services <br />3.1.1 The Consultant shall perform as Basic Services the work and services described <br />herein and as specified in the County's "RFP: Preparation of 2010-2015 <br />Consolidated Plan for the orange County Home Consortium including the Towns <br />of Carrboro, Chapel Hill and Hillsborough, North Carolina ("RFP")" (Attachment <br />A, Request for Proposal), Consultant's Response to the Request for Proposals: <br />Preparation of 2010-2015 Consolidated Plan by E. Frank Newton, dated December <br />29, 2009 ("Proposal") (Attachment B) and Special Conditions (Attachment C) <br />which are all attached and fully incorporated by reference. In the event a term or <br />condition in any attachment conflicts with a term or condition of this Agreement <br />the term or condition in this Agreement shall control. <br />3.1.2 The Basic Services will be performed by the Consultant in accordance with the <br />Project timeline schedule in Attachment D. In addition, the Consultant will <br />provide a copy of the Project in draft form to the County by April 2, 2010 and a <br />copy of the Project in final form to the County no later than April 22, 2010. <br />3.1.3 Should County reasonably determine that Consultant has not met the Project <br />timeline dates established in Section 3.1.2 of this Article, County shall notify <br />Consultant of the failure to meet the Project timeline dates. The County, at its <br />discretion may provide the Consultant seven (7) days to cure the breach. County <br />may withhold the accompanying payment without penalty until such time as <br />Consultant cures the Breach. In the alternative, upon Consultant's failure to meet <br />any Project timeline date the County may modify the Project timeline date <br />schedule. Should Consultant or its representatives fail to cure the breach within <br />seven (7) days, or fail to reasonably agree to such modified schedule County may <br />immediately terminate this Agreement in writing without penalty or incurring <br />further obligation to Consultant. This section shall not be interpreted to limit the <br />definition of breach to the failure to meet Project timeline dates. <br />3.1.4 Notwithstanding the foregoing, the Consultant agrees that the Consolidated Plan <br />will be completed and delivered to the County in time to allow submission of the <br />Consolidated Plan to the Greensboro office of the U.S. Department of Housing and <br />Urban Development (HUD) no later than Apri122, 2010, so that the County may <br />meet its May 14, 2010 deadline. <br />ARTICLE 4 DURATION OF SERVICES <br />4.1 Scheduling of Services <br />4.1.1 The Consultant shall schedule and perform his activities in a timely manner so as <br />to meet the Milestone Dates listed in Article 3. <br />
