Include any concerns regarding <br />scheduling, concept, and expectations. <br />General Thoughts <br />We herein propose an arrangement whereby ATC would: (a) provide general consulting services to the <br />County related to broadband deployment; and (b) have the exclusive option to develop new wireless <br />communication tower facilities in the County for purposes of expanding broadband coverage in unserved <br />and underserved areas. We believe our expertise in deploying wireless networks is invaluable <br />as the County seeks to solicit interest from service providers and spur the development of broadband <br />services throughout the County. In short, our team has the skills, experience, carrier relationships and <br />capital backing to ensure a successful project with the County. <br />Consulting Services -Description <br />Our team has a long working history of developing wireless networks in Orange County and <br />surrounding environs. As such, our team has deep local relationships with our carrier customers and <br />firmly understands the various challenges associated with deploying wireless networks. We feel firmly <br />that our team is best suited to advise the County on ways to spur the deployment of broadband <br />coverage. ATC essentially proposes to offer its consulting services free of charge in exchange for an <br />exclusive right to develop new wireless communication tower facilities in association with the subject <br />project. <br />Tower Development -Description <br />As previously described, ATC is a premier owner and operator of wireless communication tower <br />facilities. ATC strongly desires to further expand its tower portfolio (i.e., build new wireless <br />communication tower facilities) in situations where its investment criteria are met and multi-tenant <br />demand exists. We believe the erection of new wireless communication tower facilities will be <br />required in order to meet the objectives of the subject project. ATC seeks to have the exclusive right to <br />develop any new wireless communication tower facilities which are required in association with the <br />subject project. If its minimum investment criteria are met, ATC would construct new wireless <br />communication tower facilities only in those locations where appropriate parties (ATC, County and <br />broadband provider) agree that a new facility is required for the deployment of broadband coverage. <br />2 <br />Additional Thoughts <br />• ATC commits to work diligently with the County and others to ensure a timely and thorough <br />submittal for funds through the American Recovery & Reinvestment Act. However, for <br />administrative and fmancial reasons, ATC does not desire to formally serve as a coapplicant <br />for the subject funds. <br />• ATC would propose to develop new wireless communication tower facilities on County <br />properties, where feasible. If no options exist for the development of wireless communication <br />tower facilities on County property then ATC would propose to develop such facilities on <br />privately owned properties. <br />• At this stage, our indication of interest is not intended to be legally binding and is subject to, <br />among other things, the negotiation and execution of a mutually satisfactory legal agreements <br />and the receipt of any necessary management consents and approvals. The parties may cease <br />negotiations for any reason prior to entering into a defmitive agreement. <br />d) Discussion of your firm's specific abilities and expertise to provide the required professional <br />services and qualifications related to project requirements, including project management skills <br />
