MAINTENANCE FEES: $0.00 Pavment Terms: The TOTAL SOFTWARE & IMPLEMENTATION (EXCL MAINT) amount specified above in this Order Form are due within 30 days of ZOLL's invoice for such amounts. Maintenance Fees: Maintenance Fees specified in this Order Form will be prorated up to the next maintenance billing cycle and included as a line item in the invoice in connection with this Order Form. Service Fees: Service Fees are specified in each SOW. Customer will also reimburse ZOLL for all reasonable out-of-pocket expenses (including travel and accommodation expenses) incurred by ZOLL in providing the Services. Scope of License: Software licensed on a per site or per user basis as indicated above may not be installed or used at greater than the number of sited indicated or used by more than the number of concurrent users indicated, as applicable. Tax Exempt Status: If Customer is tax exempt or pays state taxes directly, then prior to invoicing, Customer must provide ZOLL with a copy of a current tax exemption certificate issued by Customer's state taxing authority for the given jurisdiction. Ex irp ation: Agreement expires if not signed by 10/30/09 Nonaporopriation: ZOLL acknowledges that Customer is a governmental entity, and the contract validity is based upon the availability of public funding under the authority of its statutory mandate. In the event that public funds are unavailable and not appropriated for the performance of Customer's obligations under this contract, then this contract shall automatically expire without penalty to Customer thirty (30) days after written notice to ZOLL of the unavailability and non-appropriation of public funds. It is expressly agreed that Customer shall not activate this non-appropriation provision for its convenience or to circumvent the requirements of this contract, but only as an emergency fiscal measure during a substantial fiscal crisis. In the event of a change in the Customer's statutory authority, mandate and mandated functions, by state and federal legislative or regulatory action, which adversely affects Customer's authority to continue its obligations under this contract, then this contract shall automatically terminate without penalty to Customer upon written notice to ZOLL of such limitation or change in Customer's le h •ity.
