S <br />2009 and as hereafter amended and/or modified (the "Lease'), with <br />respect to two hundred (200) designated parking spaces located in the Parking Deck as identified <br />in the Lease; and <br />WHEREAS, Lessor and Lessee have recorded that certain MEMORANDUM OF <br />LEASE in Book 4789, Page 210, Orange County Registry (the "Memorandum"), for the purpose <br />of providing record notice of the Lease and certain of the terms contained therein; and <br />WHEREAS, the parties desire to record this Amendment for the purpose of providing <br />record notice of the parties' amendment of the Lease as provided in the above-referenced <br />SECOND AMENDMENT TO PARKING DECK LEASE AND RIGHT OF FIRST <br />OFFER AND RIGHT OF FIRST REFUSAL and amending the Memorandum accordingly. <br />NOW, THEREFORE, for and in consideration of the terms, covenants and conditions <br />set forth in the Lease and other good and valuable consideration, the receipt and sufficiency of <br />which are hereby acknowledged, Lessor and Lessee hereby acknowledge and declare as follows: <br />1. Pursuant to the terms of the Lease, as amended by the above-referenced <br />SECOND AMENDMENT TO PARKING DECK LEASE AND RIGHT OF FIRST <br />OFFER AND RIGHT OF FIRST REFUSAL, the description of the Property (as defined in the <br />Lease, as amended) is as set forth on the attached EXHIBIT A which is incorporated herein by <br />this reference. <br />2. Except to the limited extent provided above, the Lease has not been amended, <br />modified and/or altered in any manner.
