S <br />AGREEMENT Between the Chapel Hill Training - Outreach Project, Inc. <br />and Orange County Health Department <br />Page 3 of 4 <br />8. OCHD and CHTOP agree to establish a shared supervisory system which is consistent with requirements set <br />forth in the Orange County Personnel Ordinance and Early Head Start Performance Standards. As Orange <br />County Employees, they will be subject to all provisions of the Orange County Personnel Ordinance. <br />9. OCHD and CHTOP agree to work toward the following outcomes for EHS families: <br />a. Improve parent -child interaction, <br />b. Ensure adequate use of preventive health and family support services, <br />c. Improve children's health and development, and <br />d. Decrease child abuse and neglect. <br />10. In the event that the social workers become unwilling or unable to perform the duties required by this <br />Agreement, the employees are subject to Orange County Personnel Ordinance procedures. OCHD and CHTOP <br />shall attempt to mutually agree upon replacement of personnel. If such mutual agreement is not achieved, then <br />this Agreement shall terminate and any payment due as of the date of termination shall be paid <br />11. Renewal of this Agreement shall be on an annual basis, subject to program continuation based on a review of <br />program outcomes, and subject to available funding and shall commence upon written notice executed by both <br />parties. This Agreement shall run for a period of FOUR (4) years and FOUR (4) months, from the 1" day of <br />January, 1999, to April 2003 as long as the Federal Early Head Start funds continue to be available. <br />12. This Agreement or its renewals may be terminated at any time without penalty by either party provided that <br />written notice of such termination is fiunished to the other party at least ninety (90) days prior to termination. <br />In the event of such termination any payment due shall be prorated to the date of termination. <br />13. The CHTOP hereby agrees with OCHD, that in its educational and/or employment practices, the OCHD will <br />comply with such nondiscrimination law as may be applicable to it in the performance of this Agreement. <br />CHTOP hereby agrees to abide by pertinent rules and regulations of the OCHD, Orange County, and the North <br />Carolina Department of Environment, Health and Natural Resources in the conduct of service. <br />14. No provision of this Agreement shall be construed or interpreted as creating a pledge of the faith and credit of <br />Orange County or OCHD within the meaning of any constitutional debt limitation. No provision of this <br />Agreement shall be construed or interpreted as creating a delegation of governmental powers nor as a donation <br />
