12. Conversion Percentage means sixteen and six-tenths percent (16.6%). <br />13. Delivery Point shall mean the location at which the ownership, possession and <br />control of the Landfill Gas is transferred from the County to the University. For purposes of this <br />of this Agreement, the Delivery Point shall be the blower discharge point on the Landfill <br />property as ,shown on Exhibit B. <br />14. Effective Date has the meaning given in the preamble. <br />15. Emission Allowance shall mean an authorization issued by a Govermnental <br />Authority to emit one metric ton of CO2e. <br />16. Engine Start-up Date shall be the date when the engine located at the <br />University's Carolina North Campus reaches steady-state conditions and commences the <br />conversion of Landfill Gas into usable energy. <br />17. Environmental Benefits shall mean all credits and allowances generated by and <br />associated with the generation, destruction, treatment, sale or use of the Landfill Gas, including <br />Carbon Credits, Emission Allowances, offsets, "green tags," and renewable energy credits, or <br />any other asset or teiā¢~n that may hereinafter be used to describe the enviroiunental benefit of <br />either destroying any pollutant in the Landfill Gas (including methane) or using the Landfill Gas <br />as a source of energy. <br />18. Environmental Laws shall mean all Laws conceniing pollution or protection of <br />the enviromnent or human health, as the foregoing are enacted or in effect, on or prior to the date <br />hereof (including ambient air, soil, surface water, ground water, wetlands, land. or subsurface <br />strata), including without limitation: (i) the Comprehensive Enviromnental Response <br />Compensation and Liability Act, 42 U.S.C. §§ 9601 et seq.; (ii) t11e Solid Waste Disposal Act, as <br />amended by the Resource Conservation and Recovery Act, 42 U.S.C. §§ 6901 et seq.; (iii) the <br />7 <br />
