25 <br />12. Situs. This Agreement shall be governed by the laws of North Carolina and any <br />claim for breach or enforcement of the Agreement shall be filed in State Court in <br />Orange County, North Carolina. <br />13. Antitrust Laws. This Agreement is entered into in compliance with all State and <br />Federal antitrust laws. <br />14. Compliance with Law. The CONTRACTOR shall remain an independent <br />contractor and as such shall be wholly responsible for the work to be performed <br />under this Agreement and for the supervision of his employees. The <br />CONTRACTOR shall be responsible for compliance with all laws, ordmances, <br />codes, rules, regulations, licensing requirements and other regulatory matters that <br />aze applicable to the conduct of his business and work performance under this <br />Agreement, including those of federal, state and local agencies having appropriate <br />jurisdiction. <br />15. This Agreement or any interest therein shall not be assigned or transferred by the <br />CONTRACTOR The CONTRACTOR shall not subcontract any work to be <br />performed pursuant to this Agreement without the written approval of the <br />AGENCY. <br />16. Advertisemeat. This Agreement shall not be used for any advertising by the <br />CONTRACTOR without prior written approval of the Contract Administrator. <br />17. Personal Services. This Agreement is a contract for personal services and is not <br />for consultant services. If it is found to be a consultant contract, then it shall not <br />be deemed executed until approved in writing by the Contract Administrator. <br />18. Entire Agreement. This Agreement and any exhibits and amendments annexed <br />hereto and any documents incorporated specifically by reference represent the <br />entire agreement between the parties and supersede all prior oral and written <br />statements or agreements.
