24 <br />6. Contract Administrator. Patricia Jones is designated as the contract administrator <br />for this Agreement. The contract administrator is responsible for monitoring the <br />CONTRACTOR'S performance, approving payment to the CONTRACTOR and <br />- for providing evaluation of the CONTRACTOR <br />7. Funding. All terms and conditions of this Agreement are dependent upon and <br />subject to the allocation of funds for the purpose set forth and the Agreement <br />shall automatically terminate if funds cease to be available. <br />8. Taxes. The CONTRACTOR shall be considered to be an independent contractor <br />and as such shall be responsible for all taxes. The CONTRACTOR agrees to <br />provide the AGENCY with the CONTRACTOR'S correct taxpayer identification <br />number upon the execution of this Agreement. The CONTRACTOR agrees that <br />fafiure to provide the AGENCY with a correct taxpayer identification number <br />authorizes the AGENCY to withhold 15% of any amount due and payable under <br />this Agreement pursuant to the provisions of the Internal Revenue Code, Title 26, <br />United States Code. <br />9. Warren As an independent contractor, the CONTRACTOR will hold the <br />AGENCY harmless for any liability and personal injury that may occur from or in <br />connection with the performance of the Agreement. <br />10. Termination of Agreement: <br />a. Ii; through any cause, this CONTRACTOR shall fad to fiilfill in timely and <br />proper manner the obligations under this Agreement, the AGENCY shall <br />thereupon have the right to terminate this Agreement by giving written notice to <br />the CONTRACTOR of such termination and specifying the effective date thereof, <br />at least one (1) day before the effective date of termination. <br />b. The AGENCY may terminate this Agreement at any time by notice in <br />writing from the AGENCY to the CONTRACTOR If the Agreement is <br />terminated by the AGENCY as provided herein, the CONTRACTOR shaIl be <br />reimbursed prorate for that portion of the services re~idered to the AGENCY as <br />otherwise set forth in this Agreement. <br />11. State Property. The CONTRACTOR shall be responsible for the custody and care <br />of any property fiunished for use in connection with the performance of this <br />Agreement and shall reimburse the AGENCY for any loss or damage to said <br />property. The CONTRACTOR fiuther agrees not to release any information <br />concerning the AGENCY or its operation provided to him without the express <br />written approval of the AGENCY, that all such information shall remain <br />confidential, and all reports and other documents prepared pursuant to this <br />Agreement shall become the property ofthe AGENCY and not released by the <br />CONTRACTOR without the written approval of the AGENCY. <br />
