ss2 <br />C) The Local Government and any Contractor shall <br />indemnify and save Harmless the Planning Agency, <br />including its agents, officers, and employees, from <br />and against any and all claims, demands, suits, <br />judgments, settlements, etc., for sums of money <br />- for or on account of personal injuries, property <br />damage, invasion of real property, or loss of life <br />or property of any persons whether in contract <br />or tort, or in any way connected with, the per- <br />formance of the project covered by this Agreement; <br />D) Further, the Local Government and any Contractor <br />expressly release the Planning Agency from any <br />liability or any losses or damages suffered by. <br />the Local Government, directly or indirectly, <br />from or in any way connected with the performance <br />of this Agreement; and <br />E) The Local Government and any Contractor shall take <br />all necessary steps, such as providing for insurance, <br />etc., as may be required to effectuate this Paragraph. <br />3l) Failure to Execute Contract -The Local Government sha1.T <br />be extended forty-five (~5) days to fully execute this Agreement <br />upon the date of receipt. In the-event this Agreement has not <br />been executed within the forty-five days alloted by the Planning <br />_, Agency and the Local Government has not written a letter of <br />commitmen~ to enter into this Agreement to the Planning Agency, <br />the Total Grant amount warded to the Local Government shall <br />revert to the Planning Agency. <br /> <br />(20) <br />
