22 <br />this Agreement shall lie exclusively in the North Carolina General Court of Justice, with venue in <br />Orange County. <br />SECTION 20 <br />Suspension Of Work: For any undisputed invoice outstanding for more than forty-five (45) days <br />from the date of the County's receipt of the invoice, the Contractor has the option to suspend all <br />Services specified under this Agreement until the account is brought current. Continued <br />performance andlor completion of Services by the Contractor under this Agreement is contingent <br />upon payment of undisputed invoices by the County in accordance with the Agreement. <br />SECTION 21 <br />Notice: All approvals, authorizations and consents must be in writing or be confirmed by the <br />County and Contractor in writing to be effective pursuant to this Agreement. All notices, <br />demands and other communications required or permitted under this agreement (hereafter <br />"Notice") shall, unless otherwise specified, be in writing, sent by hand delivery, or by certified <br />first class mail, postage prepaid, with return receipt required, to the following person and <br />addresses: <br />As to the County: <br />Director <br />Orange County Department of Solid Waste Management <br />PO Box 17177 <br />Chapel Hill, N. C. 27407 <br />or to such other person or address as the party to whom the Notice is sent shall designate in <br />writing in accordance with the provisions of this Paragraph.
