Permits. The University shall use its best efforts to prevent damage to County property during <br /> such equipment removal process, and shall reimburse the County for the reasonable costs of <br /> repairing any damage to the Landfill or other County property. <br /> 108. Pipeline.Following the expiration or termination of this Agreement,the University <br /> shall remove any Landfill Gas from the Pipeline, cap the Pipeline, and take any other actions <br /> relating to the closure of the Pipeline as may be required by applicable Laws and by any applicable <br /> provisions of the Landfill Permits and LFG Project Permits. <br /> 109. The University's Option to Offer the LFG Collection System for Sale to the County. <br /> If the University elects to offer for sale to the County all or any portion of the equipment <br /> comprising the LFG Collection System, it shall so notify the County in writing within thirty (30) <br /> days following any expiration or termination of this Agreement. If the County elects to purchase <br /> any such equipment, such purchase shall be on an "AS IS," "WHERE IS" AND "WITH ALL <br /> FAULTS"basis,but free of any and all liens,for the Fair Market Value(defined 1hereinhereunder). <br /> If the University does not timely notify the County of an election to offer for sale to the County all <br /> or any portion of the LFG Collection System and the University fails to remove such equipment <br /> within one hundred eighty days (180) days after the expiration or termination of this Agreement, <br /> then any such equipment remaining on the County's property shall be deemed abandoned. If the <br /> County rejects a timely offer for sale by the University under this Paragraph of all or any portion of <br /> the LFG Collection System and the University fails to remove such equipment within one hundred <br /> eighty days(180) days after the date of such rejection,then any such equipment remaining on the <br /> County's property shall be deemed abandoned; provided, however, that in the event the County <br /> subsequently makes productive use of such equipment,or leases or sells such equipment,then the <br /> County shall pay the University the Fair Market Value of such equipment. <br /> 30 <br /> {00018638.DOC 24241 <br />
