18 <br /> Article VII-General Provisions <br /> Section 1. Fiscal Year. The ERFM's fiscal year is January 1 to December 31. <br /> Section 2. Inspection of Records. All ERFM books and records may be inspected by a <br /> member, along with his or her representative if desired, for any proper purpose at any reasonable <br /> time. Documents will be made available within two weeks of receipt of a written request from <br /> the member to the Board for such an inspection. <br /> Section 3. Committees. The Board of Directors may designate permanent or limited-life <br /> committees to accomplish ERFM business and functions. Committee size,membership and <br /> charge should be determined by the Board. Each committee will select its chairperson.Each <br /> committee is answerable to the Board and serves at the pleasure of the Board. <br /> Section 4. Market Manager. If a Market Manager position is established, it shall be a <br /> contracted position answerable to the Board. The contract should be on an annual basis and be <br /> governed by Board approved policies and procedures. <br /> Article VIII—Amendments <br /> Section 1. Amendments to the By-Laws. The by-laws may be altered,amended,or replaced by <br /> a vote of two thirds of ERFM's membership present at any regular or special meeting,provided a <br /> quorum is present. Intention to seek a change in the by-laws must be a result of a Board decision <br /> or a request from the membership filed with the Secretary in writing at least thirty days before the <br /> meeting. The decision concerning a by-laws change must be part of the stated purpose of the <br /> meeting as sent to all voting members. <br /> • <br />
